For a clear and unambiguous understanding of this agreement, terms beginning with a capital letter are assigned the specific meanings detailed below, whether used in the singular or plural.

• Affiliate: Any corporate entity that exercises control over the Company, is under its control, or is under common control with it. The term "control" means here the ownership of 50% or more of the shares, equity interests, or other securities conferring voting rights for the election of directors.
• Country: Refers to Canada, the jurisdiction of establishment of the Company.
• Company: Designates the entity KI Quant, also referred to in this text by the pronouns "We", "Our", or "Us", which is the provider of the Service.
• Device: Any electronic device capable of connecting to the Service, such as a desktop computer, mobile phone, or digital tablet.
• Service: Represents all the functionalities, tools, data, and content accessible via the Website operated by the Company.
• Terms: These General Conditions of Use in their entirety, which constitute the complete agreement between You and the Company.
• Third-Party Social Media Service: Any content or service (including data, information, products, or features) offered by a third party that may be displayed, included, or made accessible by our Service.

• You: The individual who accesses the Service, or the legal entity (such as a company or organization) that this individual represents when using the platform.

Acknowledgement and Acceptance

Your decision to use the Service constitutes an explicit acknowledgment that you have read, understood, and agreed to be bound by these Conditions. The latter form a binding contract between You and the Company. If you disagree with any part of this document, you must immediately cease all use of the Service.

You affirm and guarantee that you are at least 18 years old. The Company does not permit individuals under 18 years of age to use its Service. Access to the platform is also conditional upon your reading and acceptance of our Privacy Policy, which details our practices regarding the collection and use of your personal data.

Termination

We reserve the right to unilaterally suspend or terminate your access to our Service, without prior notice and with immediate effect, for any conduct we deem inappropriate, particularly in the event of a clear violation of the clauses of this agreement. Such termination does not affect any obligations and responsibilities which, by their nature, must survive the end of this contractual relationship.

Limitation of Liability

Notwithstanding any damage you may incur, the total liability of KI Quant and its suppliers under these Conditions, and your exclusive remedy for all the aforementioned cases, shall be limited to the higher of the following two amounts: the sum you have actually paid through the Service during the twelve (12) months preceding the event giving rise to the claim, or one hundred Canadian dollars (100 CAD) if no payment has been made.

In no event, to the maximum extent permitted by applicable law, shall the Company or its suppliers be liable for any indirect, consequential, or special damages (such as loss of profits, data corruption, business interruption, personal injury, or invasion of privacy) arising out of the use or inability to use the Service.

Disclaimer of Warranty "AS IS" and "AS AVAILABLE"

The Service is provided to you "AS IS" and "AS AVAILABLE", with all its potential defects and imperfections, and without any form of warranty. KI Quant, on its own behalf and on behalf of its Affiliates, licensors, and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise. This includes, without limitation, warranties of merchantability, fitness for a particular purpose, title, non-infringement, and warranties that may arise from course of dealing or performance.

Without limiting the generality of the foregoing, the Company makes no assurance and no representation that the Service will meet your requirements, achieve the expected results, be compatible with other software, operate without interruption, meet performance or reliability standards, or be error-free.

Governing Law

These Conditions and your use of the Service shall be exclusively governed by the laws in force in the province of Quebec and the federal laws of Canada applicable therein. Any question of interpretation or application shall be decided in accordance with this legal corpus, without regard to conflict of law principles.

Dispute Resolution

In the event of a dispute or concern regarding the Service, you agree to first seek an amicable resolution. To do so, please contact our support team directly to explain the nature of the problem and allow us to attempt to resolve it informally before taking any further action.

Provisions for European Union Users

For our users residing within the European Union, it is understood that you will benefit from all mandatory provisions provided by the law of your country of residence, which cannot be waived by contract.

Legal Compliance for the United States

You represent and warrant that (i) your place of residence or connection is not located in a country that is the subject of an embargo by the United States government or designated by it as a state "supporting terrorism", and that (ii) your name does not appear on any list of prohibited or restricted parties by the US government.

Severability and Waiver

Severability

If any provision of these Terms is found to be unenforceable or invalid by a competent jurisdiction, that provision will be modified and interpreted to achieve the objectives of said provision to the fullest extent possible under applicable law, while the other provisions will retain their full validity and effect.

Waiver

Unless expressly stated otherwise, a party's failure to exercise a right or demand performance of an obligation under these Terms shall not affect its ability to exercise that right or demand that performance in the future. Similarly, waiving a breach shall not constitute a waiver of any subsequent breach.

Translation Interpretation

These Terms were originally written in French. If translations are made available to you on our Service, they are for informational purposes only. In case of divergence or contradiction between the French version and a translated version, you agree that only the French version shall be authoritative and prevail.

Changes to These Terms

KI Quant reserves the right, in its sole discretion, to modify or replace these Terms at any time. For any changes we consider substantial, we will endeavor to provide at least 30 days' notice before the new terms take effect. The nature of a substantial change will be determined at our sole discretion. Your continued use of the Service after that period will constitute acceptance of the revised terms.
